The current Portuguese registration system expressly allows individuals to create eligible companies through the official online service, subject to the required authentication and digital signatures. The in-person Empresa na Hora service is also available to any person or legal entity and is administered by the Instituto dos Registos e do Notariado (IRN).

The current Justice registration page also allows foreign citizens to authenticate with a Digital Mobile Key associated with a passport or through European eIDAS, while relevant participants still need Portuguese tax identification. The better question is whether the structure justifies legal drafting, representation or risk analysis. A simple single-shareholder Lda using standard articles is materially different from a venture with unequal economics, investor rights, reserved matters, IP assignments or financing terms.

The current IRN Empresa 2.0 page also states that an online application with detected inconsistencies can generate a €30 correction charge, with five days to correct the notified issues. That is a public procedural cost, not a legal-services fee.

Third-party cost: translations, legalisation, fiscal representation, registered-address services or sector filings when required. What a Company Formation Lawyer Actually Does

A capable Portugal company formation lawyer should add value before the registration button is pressed. The strongest reason to engage counsel is not data entry; it is to make sure the legal architecture reflects the founders’ commercial deal.

For an Lda, that can include deciding whether standard articles are adequate, drafting bespoke articles, defining who can bind the company, documenting managers, allocating quotas, setting transfer restrictions and coordinating a shareholders’ agreement where appropriate. The company object describes the proposed business, while activities use CAE codes. Portugal moved to CAE Rev.4 on 1 January 2025, so older classification checklists can be obsolete.

A lawyer may also review powers of attorney, foreign corporate documents and signature formalities. For a foreign corporate shareholder, the registration portal requires Portuguese NIPC and NIF numbers, foreign corporate-registry evidence, updated constitutional documents and, where applicable, a corporate resolution supporting the investment. Foreign-language documents need a translation for the online filing.

The Portuguese Bar’s statute does not prescribe one standard company-formation fee. It says lawyers’ fees should reflect the services actually provided and may be fixed; without a prior written agreement, the lawyer must provide an itemised fee account. Relevant factors include difficulty, urgency, time spent, responsibility assumed and professional usage.

Commercial package prices should not be converted into an “official average”. Scopes vary: some packages cover filing coordination, while others add NIF work, translations, fiscal representation, bespoke articles, shareholder agreements, registered-address services, bank support or ongoing advice.
